"Platform" — Means the Axioragroup web-based business management software-as-a-service solution, including its CRM, project management, HR administration, and financial record-keeping features, and any related websites, applications, or documentation made available by Axioragroup.
"Customer Data" — Means any information, records, or content entered, uploaded, or stored by the Customer or its authorised users within the Platform, including customer and contact records, employee and HR information, project information, invoices, income and expense records, and any other business data.
"Package" — Means the specific set of features, functionality, and usage limits selected and purchased by the Customer, as described at the point of purchase.
"Authorised User" — Means an individual authorised by the Customer to access and use the Platform under the Customer's account, whether an employee, contractor, or other representative of the Customer.
"Applicable Law" — Means any law, regulation, rule, or binding guidance applicable to the provision or use of the Platform, including consumer protection, data protection, and e-commerce law in the relevant jurisdictions.
These Terms and Conditions (the "Terms") govern access to and use of the Axioragroup platform (the "Platform"), a web-based business management software-as-a-service solution provided by Axioragroup ("Axioragroup", "we", "us", or "our"). By purchasing access to the Platform, creating an account, or otherwise using the Platform in any way, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not purchase, access, or use the Platform.
The Platform is intended for use by small businesses, freelancers, consultants, agencies, and other service-based businesses. If you are entering into these Terms on behalf of a company, partnership, sole trader business, or other entity, you confirm that you have the authority to bind that entity to these Terms, and references to "you" or "Customer" in these Terms include that entity.
We may update or revise these Terms from time to time, for example to reflect changes in the Platform's features, applicable law, or our business practices. Where changes are material, we will make reasonable efforts to notify Customers, such as by posting a notice on the Platform or sending an email to the address associated with the account. Continued use of the Platform after any such changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your option is to stop using the Platform, subject to the refund provisions described in Section 6.
These Terms should be read together with any privacy policy, acceptable use policy, or refund policy published by Axioragroup, each of which is incorporated into these Terms by reference. Where there is a direct conflict between these Terms and a specific policy on a particular point, the more specific policy will apply to that point.
Axioragroup provides web-based business management software designed to help small businesses, freelancers, consultants, agencies, and other service-based businesses manage their day-to-day operations from a single online platform, including customer relationship management (CRM), project management, HR administration, and financial record-keeping functionality.
The Platform's features are administrative and record-keeping tools intended to help Customers organise their own business information. The Platform does not provide accounting, tax, financial, investment, or legal advice, does not file tax returns or regulatory filings on a Customer's behalf, does not act as an employer, payroll provider, or employer-of-record, and does not hold or transmit funds on behalf of Customers or third parties. Further detail on the scope and limitations of the Platform is set out in Section 9 (Nature of the Services; No Professional Advice).
The specific features, functionality, and usage limits available to a Customer are determined by the package purchased. We may add, modify, or remove features from the Platform from time to time, including to improve functionality, respond to technical requirements, or comply with legal obligations. We will make reasonable efforts to ensure such changes do not materially reduce the core functionality of a Customer's purchased package, but do not guarantee that every feature available at the time of purchase will remain available indefinitely and unchanged.
We aim to keep the Platform available and operating normally, but we do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances outside our reasonable control. We will make reasonable efforts to minimise disruption and to restore access as quickly as practicable.
To use the Platform, you must register for an account and provide accurate, current, and complete information as prompted during registration. You are responsible for keeping this information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly if you become aware of any unauthorised use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.
Where a package permits multiple users to access the Platform under a single Customer account, the Customer is responsible for ensuring that each authorised user complies with these Terms, and for any acts or omissions of those users in connection with the Platform.
We may suspend or restrict a Customer's access to the Platform, in whole or in part, where we reasonably believe the Customer has breached these Terms, where required to comply with applicable law, or where necessary to protect the security or integrity of the Platform. Where reasonably practicable, we will provide notice of any such suspension or restriction and an opportunity to remedy the underlying issue.
Access to the Platform is provided through a one-off purchase rather than a recurring subscription. The Customer selects a package that determines the features, functionality, and usage limits available to them, and the applicable terms and conditions of access are those associated with the selected package at the time of purchase.
Customers should review the description, features, functionality, and any usage limits or conditions associated with a package before completing a purchase. It is the Customer's responsibility to select the package that best fits their business requirements.
Unless otherwise stated at the point of purchase, access granted through a one-off purchase relates to the specific package purchased and is subject to any usage limits, feature restrictions, or other conditions described for that package. Upgrading to a different package, where offered, may be subject to additional terms or an additional purchase.
When making a purchase, the Customer must provide accurate billing and contact information. We are not responsible for any issues arising from inaccurate or outdated information provided by the Customer at the time of purchase.
Customer payments for purchases of access to the Platform are processed securely through Stripe, a third-party payment processing provider. By making a purchase, you agree to Stripe's applicable terms of service and privacy policy in addition to these Terms, to the extent they apply to the processing of your payment.
Axioragroup does not operate as a bank, payment institution, money transmitter, investment provider, or other regulated financial services business merely by providing its software and accepting payment for access to the Platform through Stripe.
Prices for packages are as displayed at the time of purchase. We reserve the right to change pricing for future purchases at any time; such changes will not affect a purchase already completed prior to the change taking effect.
Prices may or may not include applicable taxes, depending on the Customer's location and applicable law. Where taxes are not included in the displayed price, the Customer is responsible for any applicable taxes, duties, or similar charges arising from their purchase, except as otherwise required by law.
If a payment fails, is reversed, or is otherwise disputed (including via a chargeback), we may suspend or restrict the Customer's access to the Platform until the matter is resolved, without prejudice to any other rights or remedies available to us.
Axioragroup offers a 14-day money-back guarantee on eligible purchases, calculated from the date of purchase, subject to the conditions and exclusions described in this Section 6 and in any separately published refund policy.
To request a refund, the Customer must contact Axioragroup within the 14-day period referred to in Section 6.1 and follow the process specified in the applicable refund policy. Refund requests made after this period may not be eligible for a refund unless required by applicable law.
Eligibility for a refund is determined in accordance with the published refund terms, including any conditions or exclusions that may apply, such as evidence of excessive or abusive use of the Platform inconsistent with a genuine evaluation of its suitability for the Customer's business.
Where a refund is approved, it will generally be issued to the original payment method used for the purchase, processed through Stripe, within a reasonable period of time following approval. Processing times may vary depending on the Customer's payment provider.
Nothing in this Section 6 is intended to limit any statutory right to a refund, replacement, or other remedy that a Customer may have under applicable consumer protection law, and this refund policy operates in addition to, and not instead of, any such statutory rights.
The Customer may use the Platform only for lawful business purposes consistent with its intended functionality, namely organising customer, project, HR, and financial information in connection with the Customer's own business.
The Customer must not use the Platform to: (a) store or process information in violation of applicable law; (b) attempt to gain unauthorised access to the Platform, other accounts, or related systems; (c) interfere with or disrupt the integrity or performance of the Platform; (d) reverse engineer, decompile, or attempt to extract the source code of the Platform, except to the extent such restriction is prohibited by applicable law; (e) resell, sublicense, or otherwise make the Platform available to third parties outside the scope of the Customer's own business operations without our prior written consent; or (f) use the Platform in any way that could harm, disable, or impair Axioragroup or any other user.
Breach of this Section 7 may result in suspension or termination of access to the Platform in accordance with Section 12 (Termination), without prejudice to any other rights or remedies available to Axioragroup.
The Customer is solely responsible for the accuracy, completeness, and lawfulness of all information entered into the Platform, including customer and contact records, employee and HR information, project information, invoices, income and expense records, and any other business data (collectively, "Customer Data").
The Customer must ensure that it has the necessary rights, permissions, and lawful basis to collect, enter, and process Customer Data through the Platform, including in respect of third-party personal data such as details relating to the Customer's own customers or employees, and must comply with all applicable data protection and privacy laws in doing so.
Axioragroup does not independently verify the accuracy or lawfulness of Customer Data entered into the Platform. Axioragroup is not responsible for any consequences arising from inaccurate, incomplete, or unlawfully obtained Customer Data entered by the Customer or its authorised users.
While we take reasonable measures to protect Customer Data stored within the Platform, the Customer is encouraged to maintain its own copies or exports of critical business information where practicable. Axioragroup is not liable for loss of Customer Data except to the extent such loss arises directly from our own gross negligence or wilful misconduct, subject to the limitations of liability set out in Section 11.
Upon termination or expiry of a Customer's access to the Platform, we may retain or delete Customer Data in accordance with our data retention practices and applicable law. Customers wishing to retain a copy of their Customer Data should export or otherwise preserve it before access ends, where reasonably practicable.
Axioragroup is a software provider. The Platform provides technological tools that Customers may use to organise business information and manage administrative processes. Axioragroup does not take control of a Customer's business finances, make financial decisions for a Customer, provide investment recommendations, provide tax advice, or make legal determinations on behalf of a Customer.
The financial record-keeping features of the Platform are administrative and record-keeping tools intended to support a Customer's own business administration activities. They are not a substitute for professional advice from a qualified accountant, tax adviser, lawyer, financial adviser, or other appropriately qualified professional, and Axioragroup does not file tax returns or submit financial or regulatory filings on a Customer's behalf.
Axioragroup does not act as an employer, payroll provider, employer-of-record, or employment services provider. The Customer remains responsible for its own employment relationships and for ensuring that its HR records are accurate and that its use of the Platform complies with applicable employment, data protection, and other legal requirements.
Axioragroup does not hold or transmit customer funds on behalf of third parties. The Platform is not designed to receive, safeguard, transfer, or manage funds belonging to a Customer's own customers, employees, suppliers, investors, or other third parties. The existence of invoice, income, expense, or payment-status features within the Platform does not mean that Axioragroup receives or controls the underlying funds referred to in those records.
The Customer retains full responsibility for any decisions made using information stored, generated, or processed through the Platform, including business, financial, HR, and legal decisions, and should seek appropriately qualified professional advice where such advice is needed.
The Platform, including its software, design, trademarks, and underlying technology, is owned by Axioragroup or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights in the Platform to the Customer.
Subject to compliance with these Terms and payment of applicable fees, Axioragroup grants the Customer a limited, non-exclusive, non-transferable licence to access and use the Platform for the Customer's own internal business purposes, in accordance with the package purchased.
As between Axioragroup and the Customer, the Customer retains ownership of Customer Data entered into the Platform. Axioragroup may process Customer Data solely as necessary to provide and maintain the Platform, in accordance with these Terms and our privacy policy.
If the Customer provides suggestions, ideas, or feedback about the Platform, Axioragroup may use that feedback to improve the Platform without obligation or compensation to the Customer, unless otherwise agreed in writing.
To the fullest extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in these Terms or as required by applicable law.
Axioragroup is not liable for any loss or damage arising from business, financial, HR, tax, or legal decisions made by the Customer based on information stored, generated, or processed through the Platform, given that the Platform provides administrative and record-keeping tools rather than professional advice.
To the fullest extent permitted by applicable law, Axioragroup will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, or data, arising out of or in connection with these Terms or use of the Platform.
To the fullest extent permitted by applicable law, Axioragroup's total aggregate liability arising out of or in connection with these Terms or the Platform, whether in contract, tort, or otherwise, will not exceed the amount actually paid by the Customer for access to the Platform in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
The Customer may stop using the Platform at any time. Where the Customer wishes to seek a refund in connection with ending their use of the Platform, the provisions of Section 6 (Refund Policy) apply.
Axioragroup may suspend or terminate a Customer's access to the Platform, in whole or in part, if the Customer breaches these Terms and fails to remedy the breach within a reasonable period after being notified of it (where capable of remedy), or immediately in cases of serious breach, suspected fraud, unlawful use, or where required by applicable law.
Upon termination of access, the Customer's right to use the Platform ends immediately. Provisions of these Terms that by their nature should survive termination, including provisions relating to intellectual property, limitation of liability, and governing law, will continue to apply.
Payment processing for purchases of the Platform is provided by Stripe. Axioragroup does not control, and is not responsible for, the operation of Stripe's services, except to the extent required by applicable law. Customers should review Stripe's own terms and privacy policy in connection with the processing of their payment.
Where the Platform integrates with, links to, or otherwise interacts with other third-party services, Axioragroup is not responsible for the content, functionality, or practices of those third-party services, and the Customer's use of any such third-party service is subject to that third party's own terms and policies.
These Terms, together with any policies incorporated by reference, constitute the entire agreement between the Customer and Axioragroup regarding use of the Platform, and supersede any prior agreements or understandings on the same subject matter.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
A failure by Axioragroup to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
The Customer may not assign or transfer its rights or obligations under these Terms without Axioragroup's prior written consent. Axioragroup may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganisation, or sale of assets, or by operation of law.
These Terms are governed by the laws applicable in Axioragroup's jurisdiction of operation, without regard to conflict of law principles, except to the extent mandatory consumer protection laws of the Customer's own country or region apply. The courts of that jurisdiction will have non-exclusive jurisdiction over any disputes arising out of or in connection with these Terms, without prejudice to any right the Customer may have to bring proceedings in their own local courts under applicable consumer protection law.
Questions about these Terms, or requests relating to refunds, account access, or Customer Data, should be directed to Axioragroup through the contact details published on the Platform or associated website.
Each party may have access to confidential or proprietary information of the other party in connection with these Terms, including non-public business, technical, or financial information ("Confidential Information"). Customer Data is treated as the Customer's Confidential Information for the purposes of this Section 15.
Each party agrees to use the other party's Confidential Information only as necessary to perform its obligations under these Terms, and to protect it using a reasonable standard of care, at least equivalent to the care it uses to protect its own confidential information of similar sensitivity.
These confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already lawfully known to the receiving party before disclosure, is independently developed without reference to the disclosing party's Confidential Information, or is required to be disclosed by law, provided that, where legally permitted, the disclosing party is given reasonable notice of such required disclosure.
Neither party will be liable for any failure or delay in performing its obligations under these Terms, other than payment obligations, to the extent such failure or delay results from causes beyond that party's reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or widespread outages affecting third-party infrastructure providers relied upon by Axioragroup.
The affected party will make reasonable efforts to notify the other party of the event and its expected impact, and will take reasonable steps to mitigate the effects of the event and resume performance of its obligations as soon as reasonably practicable.
We may provide notices to the Customer via the Platform itself, by email to the address associated with the Customer's account, or by posting notices on our website. Notices are deemed received when sent, or, where posted on the Platform or website, when made publicly available.
Notices to Axioragroup under these Terms should be sent using the contact details published on the Platform or associated website.
Where the Customer has consented to receive marketing communications, Axioragroup may send information about new features, offers, or related products. Customers may opt out of marketing communications at any time using the unsubscribe mechanism provided, without affecting their ability to receive essential service communications relating to their account.
The Customer agrees to comply with all applicable export control, sanctions, and trade compliance laws in connection with its use of the Platform, and confirms that it is not located in, or ordinarily resident in, any country or region subject to comprehensive trade sanctions that would prohibit the provision of the Platform to it.
The Customer confirms that it is not listed on any government list of prohibited or restricted parties, and that it will not access or use the Platform in violation of any applicable sanctions or export control law.
From time to time, Axioragroup may make new or experimental features available on a trial or "beta" basis, clearly identified as such. Beta features are provided for evaluation purposes and may be modified, limited, or withdrawn at any time without liability.
Beta features are provided without the warranties, service levels, or guarantees that may apply to the Platform's generally available features, and Customers should avoid relying on beta features for critical business processes.
The Customer represents and warrants that it has full power and authority to enter into these Terms and to grant Axioragroup any rights necessary to provide the Platform, and that doing so does not conflict with any other agreement or legal obligation binding on the Customer.
The Customer represents and warrants that its use of the Platform, and all Customer Data entered into it, will comply with Applicable Law, including data protection, employment, and consumer protection law relevant to the Customer's own business and its customers, employees, and other third parties whose information may be recorded within the Platform.
The Customer acknowledges and agrees that it will not rely on the Platform as a substitute for professional accounting, tax, legal, financial, or HR advice, and that it remains solely responsible for obtaining such advice where appropriate, consistent with Section 9 of these Terms.
The Customer agrees to indemnify and hold Axioragroup, its officers, employees, and agents harmless from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Customer's breach of these Terms; (b) Customer Data entered into the Platform, including any claim that such data infringes a third party's rights or was collected or used unlawfully; or (c) the Customer's use of the Platform in violation of Applicable Law.
Axioragroup will notify the Customer promptly of any claim subject to indemnification under this Section 21, and the Customer will have the right to control the defence of such claim, provided that Axioragroup may participate in the defence at its own expense and the Customer will not settle any claim in a manner that admits fault on the part of Axioragroup without its prior written consent.
Where Axioragroup offers the ability to move between packages, such as upgrading to access additional features, this will typically be treated as a new purchase subject to these Terms and any applicable additional fees, unless otherwise stated at the time of the change.
If a Customer moves to a package with reduced features or usage limits, some previously entered Customer Data or configurations may become inaccessible or restricted to the extent they exceed the limits of the new package. Axioragroup will make reasonable efforts to inform the Customer of any such effects before a downgrade takes effect where practicable.
In connection with Customer Data that constitutes personal data under applicable data protection law, the Customer is generally the data controller (determining the purposes and means of processing personal data about its own customers, employees, and contacts), and Axioragroup acts as a data processor providing the Platform on the Customer's instructions, as further described in our privacy policy or a separate data processing agreement where applicable.
Axioragroup implements reasonable technical and organisational measures designed to protect Customer Data against unauthorised access, loss, or disclosure, appropriate to the nature of the information processed through the Platform. No system can be guaranteed to be completely secure, and Axioragroup cannot guarantee the absolute security of Customer Data.
Where Customer Data is transferred across borders in connection with the operation of the Platform, Axioragroup will take reasonable steps to ensure such transfers comply with applicable data protection law, including the use of appropriate contractual safeguards where required.
Where the Customer receives a request from an individual seeking to exercise their data protection rights (such as access, correction, or deletion of their personal data) in relation to Customer Data held within the Platform, Axioragroup will provide reasonable assistance to the Customer, as data controller, in responding to that request, in accordance with applicable law and any separate data processing terms in place between the parties.
The Customer remains responsible for complying with its own obligations as a data controller, including providing appropriate privacy notices to its own customers and employees, obtaining any necessary consents, and responding substantively to data subject requests within any legally required timeframe.
